EDUCATIONAL CONTENT, THOUGHTFULLY DEVELOPED.

Morsden Academy · Legal

Terms and Conditions

Effective: October 21, 2026 · Last updated: October 23, 2026

These terms explain website use and the general framework for commissioning educational content from Morsden Academy. Project-specific commitments arise through an accepted written agreement.

1. Website use and project agreements

You may use this website to learn about the services, inspect pricing, submit a project enquiry, and locate the business contact details. Browsing the website or sending an enquiry does not place an order, make a payment, reserve production time, or create an accepted service contract. A project begins only when its scope, price, timetable, and other relevant terms have been agreed in writing.

A signed proposal, statement of work, or other expressly accepted project agreement governs the specific engagement. If it conflicts with these general terms, the project agreement takes precedence to the extent permitted by law.

2. Nature of the services

Services concern the development, design, editing, and organization of educational content. Available formats include digital learning materials, course content, interactive activities, AI-assisted content, microlearning, video scripts, study guides, quizzes, presentations, infographics, curriculum plans, workbooks, gamified learning content, training toolkits, corporate training content, complete course content packages, and monthly content support.

The listed services do not automatically include live teaching, learner accreditation, academic credit, professional certification, video filming, voice recording, platform subscriptions, or development and administration of a learning management system. Any additional service must be expressly included in the agreed scope.

3. Defining the scope

The agreed scope should identify the audience, subject, learning goals, source materials, intended use, deliverable formats, content volume, accessibility requirements, review stages, included revisions, and delivery approach. Fixed website prices refer to the stated base package and cannot be interpreted as unlimited work. A complete course package means the agreed content package, rather than every possible production or hosting service.

If requirements change, the parties should agree on any effect on fees, delivery dates, and deliverables before the additional work is performed. An enquiry about a change is not itself approval of an additional charge.

4. Client materials and responsibilities

The client must provide accurate instructions, usable source content, timely feedback, and an authorized person able to approve decisions. The client must have permission to supply text, images, data, trademarks, and other materials for the proposed use. Materials should be checked for confidential, sensitive, or third-party information before sharing.

The client and its subject matter experts remain responsible for confirming specialized factual statements, internal policies, regulated subject matter, and suitability for the intended audience. Morsden Academy will raise reasonably identified questions, but a content development service is not a substitute for specialist legal, medical, or other professional approval.

5. Fees, invoices, and payment

Website prices are stated in United States dollars. The accepted proposal or invoice will identify the agreed fee, payment schedule, any applicable taxes, and approved third-party costs. No fee is charged merely for submitting a project enquiry. Payment information should be provided only through a separately agreed payment method, not in an open project description.

A deposit or staged payment may be requested for a particular project, but its amount and treatment must be disclosed before acceptance. Payment disputes should be raised promptly with supporting information. Undisputed and disputed amounts will be considered separately where appropriate.

6. Timing and communication

A delivery schedule is confirmed after the scope and the required inputs are understood. A preferred date entered in the brief is a request, not a guaranteed deadline. Missing materials, delayed feedback, changed requirements, or circumstances outside reasonable control may affect timing. Material effects should be communicated and a revised plan agreed where necessary.

The form confirmation acknowledges receipt of your enquiry for review. We will contact you using the details you provide to discuss the request. Receipt is not a quotation, project acceptance, payment confirmation, or guarantee that a requested delivery date is available. Any specific commitment must be confirmed as part of the written project agreement.

7. Review, revisions, and handover

Review stages and included revision rounds are defined in the project agreement. Feedback should be consolidated, specific, and connected to the agreed requirements. Corrections needed because a deliverable does not meet the agreed scope are considered separately from new requirements or changes of preference introduced after approval.

Final handover should identify the delivered files, agreed formats, any required instructions, and known dependencies. Receipt or silence alone will not be used to remove rights concerning defective work. If a problem is found, describe it with enough detail to allow a fair assessment and an appropriate remedy.

8. Intellectual property and licenses

The project agreement should specify whether particular commissioned materials are licensed or assigned, which uses are permitted, and whether editable source files are included. Unless a different arrangement is agreed, a client that has paid the agreed charges receives a non-exclusive right to use the final commissioned deliverables for the educational or business purpose described in the proposal.

Pre-existing methods, templates, tools, and third-party assets retain their respective ownership and licensing conditions. A copyright assignment or work-made-for-hire arrangement requires an appropriate express written agreement; it is not created solely by a website label. Client-provided materials remain subject to the client’s rights.

9. Confidentiality and AI assistance

Non-public project information should be used for the commissioned work and handled according to any agreed confidentiality terms. Confidential deliverables will not be published as portfolio material without permission. Sharing materials with necessary providers or collaborators must be consistent with the project arrangement and relevant safeguards.

AI-assisted drafting or adaptation is followed by human editing and review against agreed sources. Confidential materials or personal information will not be placed in an external AI tool without first agreeing on the proposed use and obtaining any necessary authorization. AI output does not remove the need for factual and subject-specific review.

10. Appropriate use and practical limitations

You must not use the site to attempt unauthorized access, introduce malicious code, interfere with other visitors, impersonate another person, or submit material you are not entitled to use. Educational materials must not be presented as an accreditation, endorsement, or official certification that has not been obtained.

Learning results depend on many factors, including audience needs, implementation, instruction, practice, and the accuracy of source information. No particular score, completion rate, revenue increase, or employment outcome is promised unless an express and lawful commitment is separately made. This does not reduce the obligation to perform the agreed content service with appropriate care.

11. Cancellations, concerns, and applicable rights

Cancellation, refund, and complaint requests are handled under the Cancellation and Complaints Policy and any applicable project terms. Charges should reflect completed authorized work and properly disclosed commitments; there is no blanket rule that every payment is non-refundable. If the business cannot perform an agreed service, unearned amounts should be addressed fairly.

The parties should first try to resolve disagreements through clear written communication. Nothing here requires mandatory arbitration or removes a right to approach a regulator or court. Kentucky law may govern an agreed business engagement where lawful, while mandatory protections applicable to a customer remain unaffected. Any unenforceable provision is limited or separated as necessary.
